Terms and Conditions

Who We Are: We are Team Chase, LLC, a limited liability company organized in Arizona. We own and operate www.perrichase.com and sxbmbpractice.com. We also operate as certain Showit and Ontraport landing pages and Mighty Networks App and pages. These terms govern your viewing and engagement with all of these Sites. Please read through these terms carefully. Your viewing and/or engagement with any of our Sites constitutes your consent to these Terms. If you do not agree with any of these Terms, please leave our Sites and do not engage with the content there.
Please also note that Showit, Ontraport, Mighty Networks, and other 3rd party technology we use have their own terms of service that also apply to our Sites on their platforms.
Use of the Site: Use of our site and our services is limited to adults over 18 years of age. IN NO CASE MAY CHILDREN USE OR ACCESS OUR SITE. We reserve the right to require age verification to access certain areas of our website or to access our services.
In addition, our site and our services are provided in the United States and governed by U.S. law. If you access our site or use our services from any location outside the United States: (1) you agree to be bound by U.S. law and consent to exclusive jurisdiction and venue in the Courts located in the United States; and (2) You waive any rights or benefits that you may have under any foreign law or regulation, including without limitation any rights under GDPR and any other privacy or data protections.
No Guarantees: We make no guarantees of any particular outcome. We operate largely from an intuitive space. As such, our content, programs, memberships and other offerings may change from time to time in response to our own inner guidance. We serve a particular energetic frequency, and that frequency is the ultimate determinant of all content and offerings.
Copyright: The material on the Sites is owned by Team Chase, LLC and is copyrighted and trademarked, as appropriate. You may view the content on our Sites and comment or engage, when allowed. If the content has a button that allows it to be shared via social media or otherwise, then you may do so. Otherwise, you may not appropriate, copy, use, change or disseminate the content in any format. Under no circumstances may you use or appropriate our content for your business purposes or any other business purpose without our consent. Your viewing or engaging with our Sites gives you no rights beyond the right to view or engage with our Sites in accordance with our Terms and Policies.
To the extent that you submit any feedback, comments, “likes” or any other materials to our sites or while using our services, you grant us the perpetual right and license to use that material, including your name if provided, in any manner we determine appropriate. This expressly includes our right to edit or modify any materials or content you submit to our sites or during our services. In addition, by submitting materials to our site you represent and warranty to us that you have the full power and authority to post that material and to grant us the rights and license provided in this paragraph. You further represent and warrant that those materials and our use of those materials does not violate any rights of any third parties, including any copyright, trademark, rights of publicity, or right of privacy.
Self-Responsibility: You agree to take responsibility for your own well-being. This includes providing yourself with any additional support you need to process or integrate inner experiences that arise as a result of your participation in any of our programs or services.
Appropriate Behavior on our Sites: We intend to create spaces for mature, adult interactions and transformation. This requires the people who interact with our Sites to own their projections, to avoid disparaging us or others in our spaces, and to take responsibility for how they show up on our Sites. The difference between natural process of demonization which occurs as part of this work and disparagement is how we use the information. If you are sharing your experience to create connection, we welcome it. 
 
Boundaries: We reserve the right to ask someone to leave a program, service, or one of our Sites, at our own discretion. Should you be asked to leave, you may be entitled to a cancellation of any balance owed depending on the reason you were asked to leave.
User Responsibilities: 
As part of using our Sites you agree that:
You will use the Sites only for your personal use. You may not use theSites or any materials on the Sites for any commercial purpose without our prior written permission.
You will not post anything you are not authorized to post.
You will not use any other person’s name, likeness, or identifying information on our site without the express permission of that person.
You must be over 18 years old to use the Sites. No minors are permitted to use our Sites or our services. 
You must at all times comply with these terms and our policies in your use of our Sites or our services. In addition, you agree that at all times when using our Sites or our services you will comply with all applicable laws, rules and regulations. 
You will not upload any viruses, malware, bugs or any malicious content or software on our Sites. 
You may not use our Sites or our services in any way to harass, bully, intimidate, defame, harm, or abuse any third party. You agree you will not post or distribute any libelous, slanderous, or defamatory materials. 
You will not use any of our materials or use the name PERRI CHASE or TEAM CHASE, or any of our names, logos, or trademarks without our express written permission.
You will protect your username and password and not allow any third person to use your username and password. You agree to be fully responsible for any use of your username and password.

Disclaimer: Our Sites are offered “as is” and we make no warranties, express or implied, about the content, availability, accuracy, or up to date-ness of the Sites. We reserve the right to change or update the Sites at any time, without notice, but we are under no obligation to do so.
THIS SITE MAY CONTAIN INFORMATION THAT SOME PEOPLE MAY FIND OBJECTIONABLE OR UNCOMFORTABLE. THIS MAY INCLUDE DISCUSSIONS OF SEX AND SEXUALITY. IF YOU DO NOT WISH TO BE EXPOSED TO SUCH CONTENT, DO NOT USE OUR WEBSITE.
Liability Waiver: You agree to waive any claims against us that may arise from your use of our Sites; this includes a waiver of any claims or liability arising from any loss, any physical, psychological or emotional injury or any damage of any kind. If you feel using our Sites causes you damage, you agree the appropriate remedy is to stop using the Sites immediately.
Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE, OR OUR AFFILIATES, EMPLOYEES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES, (II) THE CONDUCT OR CONTENT OF ANY MEMBER, USER OR THIRD PARTY; OR (III) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE THAT YOU FIRST FILE A CLAIM AGAINST US. THE DAMAGES LIMITATION SET FORTH IN THE IMMEDIATELY PRECEDING SENTENCE APPLIES (i) REGARDLESS OF THE GROUND UPON WHICH LIABILITY IS BASED (WHETHER DEFAULT, CONTRACT, TORT, STATUTE, OR OTHERWISE). 
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.
Indemnification: If you use our Sites in an inappropriate or unlawful way, you agree to compensate us for any damages you cause to others. To the fullest extent permitted, you agree to indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including attorney fees and costs). Unlawful or inappropriate usage includes any usage that violates these Terms, our other policies or contracts, or any applicable law.

Other Contracts With Us: If you participate in a program or service, you may be asked to sign an additional contract or liability waiver. If you do not sign the contract or liability waiver, you may not participate in the program or service. To the extent that these other contracts explicitly contradict a provision in these Terms, those other contracts with us will prevail. However, if those other contracts are silent as to a provision that is included in these Terms, the Terms will prevail as to that provision.
 
Payment Terms: 
Fees. You agree to pay for all our services in accordance with our published fee schedule. Some services require that you become an App Member. App Membership fees are required to access those services. We reserve the right to change your fees upon notice.
Monthly Fees. Some of our services are provided on a monthly subscription basis. You agree to pay the applicable monthly fees for all services provided. You can terminate any monthly membership or other monthly fees at any time by giving us written notice of termination. However, in no event will any fees which have been paid be refunded.
Credit Card Authorization: You agree to provide us with a valid credit card and you authorize us to charge the applicable fees to your credit card on file with us. You may change your authorized credit card at any time by giving us new credit card information and authorization to charge that new card on file.
Declined Card: If any credit card charges are refused or declined you agree to pay any charges and any fees incurred due to the credit card being denied.
Collection Costs: In the event we need to employ a collection agency or attorney to collect any charges due to MMM you agree to pay all costs of collection, including any costs and attorneys’ fees incurred.
Refund and Cancellation Policy: We do not provide refunds for payments made for any of our products, services, or programs. If you participate in a program or service under a payment plan, we do not cancel the balance owed once you have agreed to participate in the program or service. Under extreme circumstances, we may, at our sole discretion, alter this no cancellation/no refund policy. If you feel your situation is extreme and warrants such consideration, please contact support@perrichase.com.

No Medical Advice or Diagnosis Given: Nothing on our Sites should be construed as medical advice or diagnosis.

Future Changes: We may change the Terms from time to time with or without notice to you. Our current Terms will always be available at PerriChase.com/terms. You will become bound by the new Terms as soon as they are posted to one of our Sites.

Breach: If you breach the Terms, we, in our sole discretion, may do any of the following:
1. Provide a warning to you that you have breached these Terms;
2. Terminate your agreement with us and ban you from our Sites; or
3. Take any other appropriate legal action.

Dispute Resolution: Any disputes arising out of or related to these Terms and Conditions or related to our sites or the services we provide will be resolved by binding arbitration under the Commercial Rules of the American Arbitration Association. All arbitrations will be conducted by a single arbitrator and will be held in Phoenix, Arizona. All arbitrations will be conducted in English. Any arbitration award may be enforced by any court of competent jurisdiction. YOU WAIVE ANY RIGHT YOU MAY HAVE TO A TRIAL BY JURY.
Additional Provisions:
No Assignment: The services to be performed for Client are personal to Client. For this reason, you may not assign or transfer any rights you have under this agreement without our prior written consent.
Descriptive Headings: The headings used in this agreement are merely included for convenience. They shall not in any manner expand or limit the rights or obligations of any party as set forth in the body of the agreement. 
Governing Law: These Terms of Use will be governed by the laws of the United States and the State of Arizona. To the extent any dispute is not resolved by arbitration you consent to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, State of Arizona for any matter arising out of this agreement.
Attorneys’ Fees and Costs: In any legal action or arbitration brought arising out of or related to these Terms of Use, the prevailing party will recover its court costs and its reasonable attorneys’ fees incurred in such action.
